Brownfields & Real Property Development

Many of our clients see the value in brownfields, and we know how to craft deals, negotiate with state and federal agencies, and customize environmental liability and cost-cap insurance coverage to allow our clients to realize their goals. Quarles & Brady has substantial experience on both buying and selling suspected or known environmentally impacted real estate while minimizing the risk of their clients.

In addition to devising deal terms and other risk-shifting contracts, the attorneys at Quarles & Brady help clients clear other environmental hurdles such as financing, the creation of Qualified Settlement Funds and trusts to manage liabilities and shepherding contaminated properties through state voluntary cleanup programs.

Representative Engagements / Experience: 

  • Representing the purchaser of a 200+ acre former oil refinery in Colorado impacted with petroleum, chlorinated solvents, and asbestos. We negotiated and drafted deal terms; reciprocal access, rail, and drainage easement agreements; building, land, rail, and above ground storage tank leases; and pollution legal liability insurance.

  • Representing the purchaser of multiple former manufacturing facilities slated for residential and industrial redevelopment, including sites subject to New Jersey landfill and industrial site transfer and remediation requirements. We negotiated pollution legal liability insurance coverage for all sites and represented the purchaser in subsequent redevelopment and sale of the properties.

  • Negotiating the sale of former industrial properties in Wisconsin, California and Pennsylvania, and structuring the deals so that the purchaser waived all rights against our client for any future environmental matters. The negotiation of manuscript pollution legal liability policies was key to each transaction. We also assisted in making the insurance claim for the one facility where new contaminants were discovered, and the insurer has accepted responsibility and is paying the claim.
