Quarles & Brady’s Commercial Financial Services Team represents a variety of commercial finance companies, federally and state-chartered financial institutions, and commercial borrowers in various debt financings. Our practice includes traditional commercial lending transactions, transactions involving securitization and derivatives, real estate financing, and credit enhancements.
We represent commercial finance companies, commercial banks, and institutional investors. For lender clients, we handle secured and unsecured credit facilities, including single lenders, club financings, and syndicated credit facilities. As an associate member of the Loan Syndications and Trading Association, we advise our clients on the very latest developments in the loan syndications market. Other types of financing transactions handled by our experienced team on behalf of lenders include financing transactions for private equity sponsors, asset and stock acquisitions, real estate financings and construction loans, asset-based lending, and general working-capital finance.
We represent commercial borrowers in multiple industries. As on the lender side, we have extensive experience in sponsor finance, representing portfolio companies of private equity sponsors on acquisition financings. Our work for borrowers includes working with them through the due diligence process, helping them negotiate loan documents with the lender, and providing legal opinions in connection with such representation.
Our team works with our lender and borrower clients through all phases of the lending process, from the preparation and negotiation of commitments to the drafting and negotiation of the loan documents, through the closing of the transaction, and even with subsequent amendments. Our team members also bring substantial experience to debt restructurings and workouts, both inside and outside of bankruptcy.
Securitization and Derivative Transactions
Our experienced team represents clients in numerous asset-backed transactions, including securitizations of trade receivables, small business loans, and equipment leases. We also assist our clients with derivative transactions, including the review and negotiation of ISDA and other over-the-counter swap documentation.
Real Estate Finance Transactions
The real estate finance transactions handled by our team range from middle-market, single-property secured loans to large, multiple-property credit facilities across multiple states. We assist both borrowers and lenders with the negotiation and documentation of these real estate secured loans.
Credit Enhancement Transactions
The credit enhancement experience of our team includes assisting our clients with the following types of transactions: letters of credit utilized in connection with public finance transactions; municipal general obligation and revenue bonds; bonds issued for the benefit of nonprofit hospitals, universities, and cultural institutions; exempt facility bonds; and industrial development bonds.
