Corporate Venturing

Corporate Venturing has become a key component in the strategic plans of many companies. Over the past few years, our Corporate Venturing Team has worked with our clients to evaluate, develop, and execute venture investments to access novel or emerging technologies and gain access to products that complement and expand their existing business.

The challenge to executing a successful venture investment is to find the right platform, technology, and management team in which to make an investment. Quarles & Brady, with its historic representation of large companies in established industries, coupled with its significant experience in the emerging company industry, has the unique blend of skills needed to successfully guide a strategic venture investment.

In addition to guiding our clients through individual investments, we also can help them evaluate and implement a formalized corporate venturing program. We have assisted both publicly traded and closely held companies in examining the key components required to create a corporate venturing program and implementing a structure that reflects the participants' respective cultures, all to design a successful outcome for all participants.

As part of this process, we help our clients develop an investment strategy that will:

  • Maximize the strategic alignment and integration between the client and the entrepreneur to drive innovation
  • Avoid adopting an inefficient tax structure
  • Identify relevant regulatory and anti-trust issues
  • Take into account appropriate intellectual property protections are in place (patent, trademark, copyright or trade secret)

There are few firms who are actively engaged in the emerging corporate venturing market. Our team consists of attorneys who have significant experience in the venture capital space, including representing both the entrepreneur and the start-up company as well as the early stage investor, and in the public company space, including representing publicly traded companies and private equity funds. This broad and deep experience allows us to counsel our clients on the best approach to benefit both the company and the entrepreneur. Our Corporate Venturing Team works in a collaborative manner and includes members of our business law, tax, intellectual property, employee benefits, and information technology practices, each of whom brings their subject matter qualifications to a successful transaction.
