Professional Experience
Cristina (Golino) Choi is an associate in the Corporate Services Group in the Madison office of Quarles & Brady. Her practice includes commercial contracting, mergers and acquisitions and insurance regulation. Her recent experience includes:
Commercial Law. Cristina has counseled clients in negotiating and drafting commercial contracts, including:
- Represented the manufacturer in the drafting and negotiating a complex supply agreement for the sale of a food grade product that involved the license of intellectual property and trade secrets, a major investment by the manufacturer in new equipment, and a complex minimum purchase commitment.
- Assisted a purchasing organization in drafting and negotiating agreements to purchase goods and services for multiple entities.
- Drafted a joint development agreement for the development of intellectual property in the biotech/startup industry.
- Negotiated agreements with copyright and trademark licensors for use in manufacturing and sale of products in the United States.
- Drafted various confidentiality, nondisclosure and noncompetition agreements.
Mergers & Acquisitions. Cristina has advised purchasers and sellers of companies and major divisions or larger companies, including:
- Drafted merger, stock purchase and asset purchase agreements and ancillary agreements such as intellectual property transfer agreements, transition services agreements and noncompete agreements.
- Assisted clients with the due diligence process, including managing data rooms, conducting due diligence and preparing due diligence reports and preparing disclosure schedules.
- Managed complex closings with multiple parties, including obtaining consents and releases from third parties.
Insurance Regulation. Cristina has advised insurers in a variety of compliance areas and in day-to-day operations, including:
- Worked onsite at a regional health insurance company several days a week for six months assisting with day-to-day legal questions, operations and compliance issues.
- Prepared and filed form filings and holding company regulation forms with the Office of the Commissioner of Insurance for various insurance companies.
- Assisted in the formation and licensing of a new health insurance corporation in Wisconsin and the transfer of assets to the new corporation.
- Drafted and negotiated reinsurance agreements.
- Worked with a health insurance client with the interpretation and implementation of the Patient Protection and Affordable Care Act and other health insurance mandates on the state and federal level.
