Deanna is a partner in the Intellectual Property Group. Deanna routinely negotiates intellectual property license agreements, including software and online applications, website development and hosting agreements, online content licensing, and website terms of use agreements. Deanna advises regarding the latest internet law and e-commerce developments, including the Telephone Consumer Protection Act (TCPA), the Anti-Cybersquatting Protection Act (ACPA), the CAN-SPAM anti-spamming Act, data privacy and security regulations, clickwrap agreements, electronic signatures and binding online agreements pursuant to E-SIGN.

Representative matters include:

  • Acted as primary outside corporate counsel for a Washington Post subsidiary, handling all internet-related transactions, including software licensing agreements, and copyright and trademark matters.
  • Routinely advise online and digital media companies regarding online license and software application agreements relating to texting, banner advertising, online classifieds, electronic music, concerts, and media content.
  • Drafted end user software license agreement, trial software license, and clickwrap license agreements for high-tech optics company.
  • Routinely draft non-disclosure agreements.
