Professional Experience
Deanna Conn practices in the areas of commercial and intellectual property litigation, intellectual property transactions, internet law, e-commerce, licensing and technology transactions, copyright, trademark and trade secrets. Ms. Conn also specializes in advising direct selling companies on online distribution policies and regulatory compliance issues. Her experience includes:

Commercial litigation – specializing in intellectual property disputes, infringement claims, licensing and contract disputes.
  • Representation of two major automakers in trademark infringement and unfair competition claims against automobile accessories company.

  • Representation of medical device manufacturer in action seeking declaratory judgment of patent non-infringement.

  • Representation of company in software vendor dispute alleging breach of contract and breach of warranty relating to enterprise software.

  • Defense of software vendor against claims of breach of contract and warranty.

  • Defense of title insurance company in Federal District Court against claims of alleged insurance breach, alleging losses in excess of $1 million.

Internet-related transactions – e-commerce, spamming, privacy regulation, online “clickwrap” agreements, electronic signatures, website development and hosting agreements, website terms of use agreements, domain name disputes, sweepstakes, internet regulatory developments on the federal and state level, copyright and trademark matters.

  • Acted as primary outside corporate counsel for a Washington Post subsidiary, handling all Internet-related transactions, including software licensing agreements, copyright and trademark matters.

  • Advised bank regarding privacy statement, California internet regulations and federal E-SIGN disclosures relating to clickwrap agreements.

  • Advised major direct selling cosmetics company regarding online distributor policies, Federal Trade Commission, state regulatory compliance issues, and dispute resolution relating to independent contractor disputes.

Corporate transactions – distribution/marketing contracts, software licensing, general corporate governance, due diligence for mergers and acquisitions.

  • Drafted end user software license agreement, trial software license, and clickwrap license agreements for high-tech optics company.

  • Modified software license agreement for trucking company enterprise software.
