Professional Experience
Joe Masterson practices in the areas of corporate governance, public securities offerings and compliance, internal investigations, general corporate and limited liability company matters. He has had extensive experience representing corporate clients in various matters, including SEC securities registrations and periodic reporting, Sarbanes-Oxley and Dodd-Frank compliance, private company finance transactions, stock and asset purchase transactions, business acquisition transactions, and drafting and negotiating corporate governance documents. Mr. Masterson’s recent experience includes:
- Representation of public companies in connection with acquisitions and sales of bonds and convertible bonds.
- Representation of public companies in connection with shareholder say-on-pay and other disclosure matters.
- Representation of public companies in connection with their compliance with Sarbanes-Oxley and Dodd-Frank obligations and related stock exchange and corporate governance matters.
- Representation of public and private companies in connection with capital formation and transactions.
