Professional Experience
Karen Dickinson is a skilled negotiator, writer and legal counselor, with extensive hands-on experience in both international and e-commerce legal matters. Her practice includes international contracting, joint ventures and alliances, software and intellectual property licensing and joint developments, trademark prosecution and licensing, e-commerce (intranet/internet) and web development. She is co-chair of the Firm’s China Law Group as well as co-chair of the Firm’s Technology Law Team. Ms. Dickinson provides legal services to both for-profit and tax-exempt organizations. Her recent experience includes:
- Advising a U.S. company setting up a joint venture in India to sell and offer after-market services to Indian market.
- Assisting U.S. clients in forming affiliates in the People’s Republic of China.
- Negotiating a complex joint development and cross-licensing agreement between Japanese client and U.S. technology company.
- Negotiating patent and know-how biotechnology licenses between Japanese client and European licensors.
- Assisting U.S. clients with protection of trademark, copyright and patent assets in the People’s Republic of China.
- Managing U.S. client international trademark portfolio.
- Drafting U.S. client product distribution agreement for use in Taiwan, Hong Kong and the People’s Republic of China.
- Negotiating long-term supply agreement between U.S. client and Japanese manufacturer.
- Drafting and negotiating a systems software licenses and related support and source code escrow agreements between international parties.
- Assisting clients with product sourcing agreements with suppliers in the People’s Republic of China.
- Advising solar energy clients in the People’s Republic of China who are entering the U.S. solar industry market, and U.S. solar energy clients selling internationally.
- Drafting standard international Software Distribution Agreement for a European client.
For nearly ten years, Ms. Dickinson was an attorney and executive for Honeywell. She negotiated multimillion dollar transactions in Europe, Canada, Japan and the People’s Republic of China and provided legal advice in the areas of software licensing, domestic and international contracting, human resources, antitrust, distribution, product liability, ethics and compliance policies. Ms. Dickinson also served as director of strategic supply and alliance management for Honeywell’s Commercial Aviation Systems, where she was responsible for an $8.2M organization of over 70 employees spending approximately $700M, and was a key team leader in outsourcing a $13.5M circuit card assembly business impacting over 500 employees. Ms. Dickinson is a former partner in and consultant to a startup Internet business-to-consumer company.

- Clerk to Judge Mary M. Schroeder, Ninth Circuit Court of Appeals, 1987-1988.
- Chair of the Arizona District Export Council, a non-profit organization whose members are appointed by the U.S. Secretary of Commerce to advise Arizona businesses seeking to expand international business, and to advise and assist the Arizona District Office of the U.S. Commercial Service.
- Member, Greater Phoenix Economic Council (GPEC) International Leadership Committee.
- Secretary, Sias International University Foundation Board of Directors, a non-profit organization supporting the first American-owned university in the People’s Republic of China.
- Organizer and Steering Committee Co-chair for a long-term relationship formed in September 2007, between the Shanghai Women’s Organization and the Arizona Governor’s Office Division for Women.
- Participant in the first Arizona State Trade Mission to the People’s Republic of China in 2005.
- Member, Through Each Others Eyes Board of Directors, a non-profit organization whose mission is to increase cross-cultural international understanding via the medium of photography.
- Former member of the Fulbright Commission, UK/Ireland Review Committee, reviewing Fulbright scholar applications on an annual basis.
