Professional Experience
Ms. Raines practices in the areas of commercial real estate finance and enforcement as well as sales and acquisitions of real property, with substantial experience in commercial lending, complex real estate transactions, foreclosures, loan workouts, lien priority contests, receiverships and lender liability claims. In this regard, Ms. Raines recent experience includes:
- Representation of business entities, institutional lenders and individuals in providing financing to owners and developers of commercial and residential properties, including construction, permanent and mezzanine loans.
- Representation of lenders and borrowers in debt restructurings, including multiproperty transactions.
- Representation of international, national and local clients in purchase and sale transactions involving both commercial and residential real estate.
- Representation of major international and national banks in complex mortgage foreclosures, UCC foreclosures, receiverships and loan workouts, including the foreclosure of mortgages on condominium projects, apartment complexes, hotels and retail centers.
- Assist in representation of creditors in collection matters and bankruptcy cases, including stay litigation claim disputes and various adversary proceedings.
- Representation of institutional lenders in usury, RICO, fraud and breach of contract disputes.
- Representation of developers and lenders in dealing with condominium and homeowners associations regarding successor developer liability, turnover and governance matters.
- Regularly advise clients on Florida tax issues, including documentary stamp tax and non-recurring intangibles taxes involving complex commercial transactions.
- Representation of individuals and business entities in entity selection, formation and planning. Conduct due diligence review and draft operative documents in connection with the purchase and sale of business entities.
