Professional Experience
Mark Ehrmann is a corporate services attorney whose 20+ years of legal experience has concentrated on representing companies and their owners and investors in domestic and international stock and asset acquisitions and divestitures, mergers and other corporate reorganizations and public and private financings. In addition, Mark has worked with a number of start up and emerging companies and their investors by assisting them with forming their companies, completing agreements among founders and employees, protecting intellectual property and securing angel and venture capital financing.
Mark’s experience includes:
- Acting as primary counsel to two biotechnology companies and their shareholders in separate transactions with large pharmaceutical companies.
- Counseling a not-for-profit provider of senior living facilities in connection with its acquisition of a retirement community.
- Advising a MRI hardware and software company in connection with its acquisition of a division of a public company.
- Representing a cellular telephone company in its initial public offering of stock.
- Advising a cellular telephone company in acquisitions of various cellular markets.
- Counseling a manufacturer in public offering of subordinated debt.
- Representing a venture capital firm in acquisition of food service company, chemical company and plastics company.
- Advising a dental instruments company in the purchase of two separate European businesses and in a merger with public company.
- Representing a software company in its initial public offering and a subsequent going private transaction.
- Acting as counsel to management groups and founders involving transactions, in several industries, including biotechnology, retail and healthcare.
- Representing various companies and their shareholders in connection with the sale of their businesses through investment banker led transactions, including a fire truck manufacturer, a party goods retailer, a provider of asset management services in the health care industry, a manufacturer of MRI devices, a pet and animal food manufacturer and a malt distributor.
- Advising several biotech companies in connection with the formation of those companies, the licensing of technology and the completion of angel and venture capital financings.
- Counseling management in a management led buy-out of a health care company and a subsequent recapitalization and sale of that company.
- Representing management in a management led buy-out of a warehouse management company and a subsequent acquisition of a separate division.
- Advising a retailer in an acquisition of other retail chains.
- Counseling companies in purchases of assets out of bankruptcy.
- Representing angel and venture capital investors in the completion of private investment transactions.
- Acting as lead acquisition counsel for a company involved in the construction industry.
