Professional Experience
Meridith G. Cannon is a partner in the Corporate Services Group. Her practice focuses on mergers and acquisitions, business planning and formation matters, and other business transactions and general corporate matters. Her recent experience includes:
- Representing both buyers and sellers, strategic and financial, in acquisition and divestiture transactions.
- Representing privately held businesses in restructuring and recapitalization transactions.

Regularly advising privately held businesses in general corporate matters, including business planning and formation of business entities.
- Representing privately held businesses in connection with the negotiation and preparation of various commercial contracts.
- Representing a privately held national berry distributor in connection with corporate governance, structuring and commercial contract matters.
- Representing Mason Wells Buyout Fund III in connection with its 2011 acquisition of Eddy Packing Co., Inc., a processor of beef, poultry and pork products.

Representing Mason Wells Buyout Fund II in portfolio company acquisitions and divestitures, including its 2006 acquisition of Dedicated Computing LLC, a leading computer design company, and its 2008 acquisition of Northland Group, Inc., a premier accounts receivable management and collection company.

Advising on corporate governance matters in connection with the sale of Giordano’s (pizza chain) assets to a consortium of bidders as part of the chain’s bankruptcy reorganization in 2011.

Representing Medical Security Card Company, a Tucson-based provider of discount and prescription drug programs, in connection with a dividend recapitalization and sale of a minority interest in the company to a private equity firm in 2011.

Representing the seller, a leader in the school photography industry, in the divestiture of one of its subsidaries in 2011.

Representing Miller Brewing in connection with its joint venture with Coors Brewing, resulting in the formation of MillerCoors, in 2008.
- Representing the issuer in an initial public offering of common stock and trust preferred securities.
