Holm has expertise in U.S. Securities and Exchange Commission compliance and corporate governance matters and serves as outside general counsel to several public and private companies. In addition, Holm practices in mergers and acquisitions and private equity and has represented strategic and financial participants in connection with acquisitions, divestitures, recapitalizations and joint venture transactions.
Holm is listed in The Best Lawyers in America, has been named to South Florida’s Top Lawyers Legal Guide since 2010 and has been selected for inclusion in Florida Trend’s Legal Elite in corporate/business law since 2006. Holm served as a director of QEP Co. Inc., a public company, and is active with WCD, a membership organization for women corporate directors. Q: What’s the most challenging deal you’ve worked on, and why?
A: I represented a public company being sold to a strategic buyer and an investor group tried to replace the board during the sales process. The deal was challenging because the company needed to simultaneously manage the sales process and handle the proxy fights, which included attendant litigation and additional SEC filings. The deal had a happy ending. The public company worked out a settlement with the investor group and the company was sold for a premium.
