As a participant in Law360's Q&A series with dealmaking movers and shakers, Laura Holm shared her perspective on five questions:

Q: What’s the most challenging deal you’ve worked on, and why?

A: I represented a public company being sold to a strategic buyer and an investor group tried to replace the board during the sales process. The deal was challenging because the company needed to simultaneously manage the sales process and handle the proxy fights, which included attendant litigation and additional SEC filings. The deal had a happy ending. The public company worked out a settlement with the investor group and the company was sold for a premium.
