Professional Experience
A partner in the Corporate Services Group and the Health/Regulatory Law Group, Patricia Hutter focuses on mergers and acquisitions, private equity investments and other business transactions and general corporate matters. She has particular experience with health care business transactions, including both mergers and acquisitions and joint ventures. Her experience includes:
  • Representing both buyers and sellers, strategic and financial in acquisition and divestiture transactions.

  • Representing hospitals, health systems and integrated delivery systems and physician groups in numerous corporate transactions including mergers and acquisitions and joint ventures.

  • Advising publicly and privately held businesses in general corporate matters including business planning and formation of business entities.

  • Representing publicly and privately held businesses in connection with the negotiation and preparation of various commercial contracts.

Representative Transactions 

  • Counsel to Mason Wells Buyout Fund III in connection with its transaction with Paragon Development Systems, Inc.
  • Counsel to Medical Security Card Company, a Tucson-based provider of discount and prescription drug programs, in connection with a dividend recapitalization and sale of a minority interest in the company to a private equity firm.
  • Counsel to private-equity owned OIP Holdings in connection with its acquisition by merger and separate equity purchase of the business units of Atlantic Hoisting and Scaffolding, a hoist, bridge and scaffolding equipment and structures business.
  • Counsel to Mason Wells Buyout Fund II in connection with its acquisition of the Performance Packaging Division of Appleton Papers
