Our health law team has significant experience in advising providers with respect to their corporate needs, including advice on joint ventures, mergers and acquisitions and contracting or commercial law matters. Additionally, our representation includes all areas of need for these clients including FDA/regulatory, health care: labor and employment, health care: IP, health care: real estate and tax-exempt organizations.
Our health care transaction lawyers not only are versed in tax, securities law and general corporate matters, but they also understand the unique business models of health care providers as well as the financial pressure that comes with operating within a third-party payor system. In addition to understanding the nuts & bolts of these health care transactions, our lawyers appreciate the nuances of these deals and the issues they raise relative to the Anti-Kickback Statute, the Stark law and other applicable regulatory schemes, reimbursement, licensure, and tax and tax-exemption. The highly regulated nature of the health care industry makes it critical that transaction counsel understand how the economics and structure of a deal intersect with the applicable regulatory scheme. Because we represent health care clients in all phases of growth and development, we are skilled in customizing our representation to fit our clients’ needs. In representing our larger, more-developed clients, we work as substantive transaction and health care regulatory counsel, with in-house counsel acting as leader over the entire project, particularly on the business matters. Our middle-market clients (and subsidiaries of our larger clients) depend on us to lead and manage all aspects of a transaction, including interfacing directly with the board of directors, business staff, outside consultants and investment bankers.
