Professional Experience
Tyson A. Ciepluch practices in the Firm’s Corporate Services Group. He advises clients on general corporate and business matters, with an emphasis on mergers and acquisitions. He has worked with small and large clients in a wide variety of industries on mergers and acquisitions, including representation of buyers and sellers, strategic and financial. His work on general business matters includes day-to-day legal issues, a wide variety of commercial contracts, business entity formation, shareholder relations and corporate governance. Mr. Ciepluch's experience includes:
- Drafting and negotiating shareholder, noncompete, employment, consulting, supply, service and other agreements.
- Representation of buyers and sellers of manufacturing companies.
- Representation of private equity funds in the acquisition and divestiture of portfolio companies.
- Representation of management in buyouts.
- Representation of a media company in the sale of a magazine business and purchase of a web-based business.
- Representation of a packaging company in the acquisition and divestiture of subsidiaries and divisions.
- Representation of a dairy cooperative in the sale of one of its divisions.
