Financial Structures

We advise corporations, sponsors, developers, lenders, financial institutions, governments, and governmental agencies on project financing across a wide range of industry sectors, including power, renewable energy, transportation, water/wastewater, and infrastructure. We have successfully assisted in transactions using limited or non-recourse financing, capital markets issues, and lease structures with facilities from commercial lenders, non-traditional lenders, and institutional investors. Our lawyers are conversant with complex corporate legal structures, including joint ventures and portfolio fund structures commonly used in energy projects.

Our lawyers provide the following counsel, advice and representation in connection with corporate and financial structuring and strategy for projects:

  • Assist clients with formulating the types of projects that may be most advantageous in which to invest or engage, including work on the “cost-benefit” analysis and economic feasibility of opportunities being considered.
  • Review, negotiate and document letters of intent, supply contracts, off-take agreements, asset management agreements, EPC contracts, leases and related industry documentation for operation of a project.
  • Advise clients with regard to exit strategies in connection with projects, the corporate structure and financing structure.
  • Introduce clients to investment banking firms, lenders, financial institutions, industry advisors and possible joint ventures partners or advisors to aid in selection of joint venture partners.
