Helen M. Schweitz, Associate


Helen Schweitz is a member of the firm's Intellectual Property Practice Group, where she focuses on technology transactions and data privacy and security. In her transactional capacity, Helen drafts and negotiates business-critical agreements, including software, data, IT services, joint development, research, reseller, confidentiality, and settlement agreements. In addition to these transactional strengths, Helen regularly helps clients strategize and develop approaches to complex technology projects by working closely with their IT, digital marketing, e-commerce, interactive technology, and information security teams and professionals and she routinely counsels clients on electronic contracting and the legal implications of working in the “Internet of Things” (IoT) space.

Prior to joining Quarles & Brady, Helen spent several years with a Fortune 100 insurance company, where she drafted and negotiated sophisticated technology and procurement contracts and counseled internal clients on a variety of legal issues, including technology, “connected car,” marketing, and corporate strategy.

Helen lived in Japan for a number of years and is conversational in Japanese.

Her experience includes:

  • Drafting and negotiating software license, software-as-a-service (SaaS), maintenance and support, development, collaboration, reseller, and IT outsourcing agreements for both customers/licensees and software vendors
  • Developing template agreements for both customers/licensees and software vendors, such as SaaS agreements, software license agreements, professional services agreements, and software/hardware evaluation agreements
  • Preparing privacy policies, end user license agreements (EULAs), terms of service, and terms of use for websites, online services, and mobile apps
  • Leading an enterprise-wide effort to develop and implement modernized confidentiality agreement templates and process improvements, including training paralegals and law clerks in more efficient procedures for the review and management of confidentiality agreements
  • Implementing processes and procedures for the in-house review of open source software licenses
  • Drafting and negotiating license agreements for copyrighted publications
  • Drafting and negotiating agreements for editing and adaptation services for authors
  • Counseling clients on technology and privacy-related regulatory frameworks, including consumer protection laws
  • Drafting cease and desist letters addressing trademark infringement and related issues
