Recent International Projects

Examples of recent international matters we have handled include:

  • revising and updating foreign distributorship agreements for Midwest manufacturers of consumer and industrial products that are exported from the United States to Europe and other markets;
  • helping U.S. companies establish subsidiaries or joint ventures abroad;
  • advising a U.S. company regarding the formation of a Cayman joint venture owned by U.S. and Chinese investors;
  • assisting a U.S. company in connection with a multimillion-dollar private offering for real estate developments in Mexico;
  • assisting a Honduran-based company in a joint venture transaction with a seafood wholesaler in the United States;
  • representing a Swedish-based technology company in negotiating and documenting formation of a joint venture with a Texas-based engineering company for development and installation of transportation safety equipment in the United States;
  • drafting and negotiating a supply agreement (and a subsequent three-year renewal) between the largest heavy truck manufacturer in China and our client, a Michigan-based snowplow manufacturer (interpreter services and logistical support in China were provided to our client through our Shanghai representative);
  • helping a Chinese energy conglomerate set up its U.S. operations in Chicago;
  • helping a U.S. eyewear company structure distribution channels in Mexico and address local employment-related matters;
  • representing mining-related clients in exploration projects throughout Canada and Australia;
  • advising a German manufacturer's U.S. subsidiary on setting up a domestic licensing program exempt from federal and state franchise laws;
  • working with a Shanghai-based Chinese law firm to assist our U.S. client in removing a copyright protected educational video from a Chinese company's website and subsequently assisting our client with putting in place a licensing and distribution agreement to allow the Chinese company to train using our client's videos;
  • acting as "outside general counsel" to numerous foreign companies with businesses or business relationships in the United States;
  • representing franchisors in a variety of industries in numerous countries on international franchise transactions, including preparation and negotiation of international multi-unit and multi-jurisdictional franchise agreements, including master franchise and area development agreements, and working with international local counsel on franchise documentation and legal compliance;
  • representing franchisors and subfranchisors on both inbound (to United States) and outbound structures and transactions;
  • helping foreign companies establish a U.S. subsidiary, joint venture, or franchise program, including advice on corporate, employment, product liability, distribution, antitrust, visa, and real estate law issues, as well as franchise disclosure and registration and sophisticated transactions and terminations;
  • advising foreign companies and their U.S. subsidiaries on U.S. product liability, product recall, and user instructions and manuals;
  • assisting U.S., Australian, and Canadian investors regarding formation of a U.S. manufacturing joint venture;
  • counseling on acquisitions of U.S.-based companies by foreign purchasers and acquisitions of foreign-based companies by U.S. purchasers;
  • handling all aspects of immigration and naturalization issues for non-U.S. citizens desiring to work or to live in the United States, including temporary visas (E, L, H, J, and others), work permits, permanent residency, I-9 and E-Verify compliance, and discrimination claims based on citizenship status and national origin;
  • registering patents and trademarks internationally (with the assistance of foreign counsel) and concluding licensing and other forms of agreements with respect to trade secrets, know-how, patents, trademarks, and copyrights;
  • handling U.S.-based litigation for foreign companies and assisting U.S. clients to manage foreign litigation (with the assistance of foreign counsel);
  • assisting U.S. companies with international trade compliance matters, including the establishment and implementation of corporate policies and training programs; and
  • assisting U.S. companies with compliance with the U.S. Foreign Corrupt Practices Act, the UK Bribery Act, and similar anti-bribery laws.
