Biography
Nathan Fronk focuses his practice on public finance and commercial finance matters with particular emphasis in tax-exempt bond transactions for 501(c)(3) organizations. He has represented conduit issuers, purchasers and borrowers on taxable and tax-exempt bond transactions for educational institutions, health systems, manufacturing facilities, senior living facilities and affordable housing.
Nathan also has extensive experience in numerous banking, business and real estate matters, including:
- serving as bank counsel and borrower counsel on complex commercial finance transactions;
- formation, financing, and expansion of a business through acquisition, merger or sale, recapitalizations, reorganizations and compliance planning;
- serving as outside general counsel and a trusted advisor for many of his clients by helping them with general corporate and contract matters, including, corporate governance, terms and conditions of sale, manufacturing and supply agreements, non-competition and confidentiality agreements, and shareholder agreements;
- the purchase, sale and leasing of commercial real estate; and
- environmental compliance and enforcement issues under state and federal environmental laws, including strategies to reduce environmental risk associated with real estate and corporate transactions.
