Another point to consider is that cloud computing platforms are often an attractive data storage and maintenance option for companies, especially for small and medium-sized companies looking to cut information technology costs, attorneys say, but contracts and agreements with these vendors need to be looked at closely during transactions.

"Cloud computing agreements don't always provide mechanisms for getting data back out of systems," Heather Buchta of Quarles & Brady LLP said. "As an acquiring entity, I want to make sure security is there and that I'm going to be able to get [data] out."
