Chal Little represents a variety of business entities and their owners, including private equity funds and their portfolio companies as well as other privately held businesses and individuals. His advice primarily centers on:

Chal guides clients through transactions as small as $300,000 and as large as $850 million. His clients include businesses in the following industries: manufacturing, financial services, investment, real estate, information technology, health care, dental care, life sciences, biotechnology, pharmaceuticals, consumer products, staffing, automotive, roofing, food products, packaging and sales training. In addition to his business law background, Chal has experience advising privately held business (including dozens of S corporations) in tax, real estate and regulatory health care matters.

  • Advising private equity clients and their portfolio companies in acquisitions and divestitures of companies, including platform acquisitions, add-on acquisitions and company sales. 
  • Advising on formation of new corporations and limited liability companies, including complex reorganizations involving diverse ownership structures and multiple subsidiaries and reorganization of entities prior to significant transactions.
  • Advising on general corporate matters, including preparing articles, bylaws, operating agreements and shareholder agreements, and advising on corporate governance, incentive compensation and recapitalizations.

  • Represented several U.S. portfolio companies of foreign investment fund in add-on acquisitions of privately held U.S. companies ($900,000 to $100 million).
  • Represented a national roofing company in several acquisitions of privately-owned companies ($10 million to $50 million).
  • Represented staffing agency in several tuck-in acquisitions ($10 million to $50 million).
  • Represented employee benefits technology company with complex capitalization in $250 million sale to private equity buyer.
  • Represented automotive dealer in large ESOP transaction reaching nearly $500 million.
  • Represented owner of sales training business in $100 million sale of majority interest in S corporation.
