Business law knowledge with varied experience

Kim Lutes focuses on all aspects of business law, with a particular emphasis on merger and acquisition (M&A) transactions. Kim also supports clients in a variety of other matters, including:

  • Offering general business law support, including the formation, organization and foreign registration of corporations, limited liability companies and other business entities, with a focus on Delaware, Florida, Illinois and Wisconsin filings.
  • Providing ongoing maintenance for corporate entities, including annual report filings, amendments, conversions, dissolutions, stock record updates, analysis of corporate records and preparation of corporate minutes.
  • Assisting with due diligence management for corporate M&A transactions, including obtaining and analyzing UCC, tax lien and litigation searches.
  • Assisting with venture capital investments and financings, including the preparation and filing of related securities filings with the Securities and Exchange Commission and various state agencies.
  • Preparing and assembling closing document sets.

Kim also has prior experience in estate planning, including the preparation and administration of wills and trusts, and product liability litigation, including discovery requests and preparation and filing of pleadings and other court documents.
