Ethics at the Bargaining Table and Fiduciary Duties of Board Members CLE
Please join Quarles for two CLE presentations, “Ethics at the Bargaining Table: Beyond the Win-Lose Mentality” and “Fiduciary Duties of Board Members for Public Companies: Legal Duties under Federal and Wisconsin Law.”
“Ethics at the Bargaining Table” will use real-life examples and hypotheticals to explore the ethical implications and challenges of mediation. The presenters will review the applicable ethical rules and other considerations for negotiations, highlighting differences in applicability across a few U.S. jurisdictions. Then, they will put the rules into practice across several mediation scenarios.
“Fiduciary Duties of Board Members for Public Companies” will discuss the role of the Board and fiduciary duties in public companies, highlighting key federal regulations and illustrative caselaw highlights that Board members must keep in mind. The program will consider Wisconsin business corporation law and business judgement rule in Wisconsin. Attendees will leave with actionable board governance best practices and a list of questions Directors should ask.
Continuing Legal Education:
After the event, Quarles will apply for up to 1.0 hour of general continuing legal education credit and 1.0 hour of ethics continuing legal education credit in U.S. jurisdictions where applicable. Quarles certifies that this activity has been approved for California Participatory MCLE credits by the State Bar of California in the amount up to 1.0 hour of general credit and 1.0 hour of ethics credits. Quarles is a State Bar of California MCLE approved provider.
