M&A Market Trends: Leveraging Corporate Risk Transfer Solutions to Increase Sale Prospects

Increasingly, public and private companies are exiting contingent and legacy liabilities through sale transactions to corporate providers. Early adopters explored these transactions to increase stock price or unlock cash flows — use cases that remain relevant today. But as the market for these transactions continues to emerge, companies and bankers have leveraged them as one part of larger, broader M&A deals — to increase the sale prospects of other assets.

Join us for a discussion about these market trends with Robert Hut and Milan Ceppi of Financial Asset Recovery Analytics (FARA Recovery), a leading corporate provider familiar with corporate risk transfer solutions, and Drew Groth of Milliman, an actuary experienced in modeling the liabilities that are the subject of the transactions. We will cover a range of topics, including the nature of the sale transactions, the contingent and legacy liabilities on which they have focused and are expected to focus in the future, strategies in modeling liabilities for purposes of a sale transaction, and the mechanics of the transaction itself, including diligence and structure considerations.

Continuing Legal Education:

This program is eligible for 1.0 hours of CLE credit in 60-minute states and 1.2 hours of CLE credit in 50-minute states. Credit hours are subject to each state’s approval and credit rounding rules. Quarles certifies that this activity is approved for California Participatory MCLE credits by the State Bar of California in the amount of up to 1.0 general credit. How to Request CLE Credit:

If you meet the participation requirements above, you will receive a personalized CLE affidavit from mcle‑quarles@americanbar.org within a few days of the webinar with instructions for receiving your Certificate of Attendance.

Once you complete the affidavit, you will be able to download your certificate(s) of attendance and they will be emailed to you from mcle‑quarles@americanbar.org.

When Will I Get My Certificate of Attendance?

Generally, you will receive your certificate within a week of submitting your information to the ABA.
