  • Leads middle-market M&A transactions for buyers and sellers, drafting and negotiating transaction agreements and managing deals ranging from stock, asset and membership interest purchases to mergers, minority investments, tuck-in acquisitions, carve-outs and sponsor-backed acquisitions and exits.
  • Manages venture and growth equity financings, including negotiation of NVCA-based transaction document and structuring of Simple Agreement for Future Equity (SAFE) convertible and debt-like equity instruments, and post-closing ownership and governance.
  • Advises clients on corporate restructurings and governance matters, including tax-free F reorganizations and bespoke stockholder agreements for family-owned enterprises.
  • Counsels clients on risk allocation and market terms, including Representations and Warranties Insurance (RWI) policy metrics, indemnification caps and baskets, escrow structures and related deal protections.

Successes

  • Represented a food services company in its sale to a large contract food services company in a transaction valued at $75 million.
  • Represented a defense technology company in its approximately $45 million strategic sale to sponsor-backed acquirer.
  • Represented a family-owned heavy construction company in its $40 million acquisition of two subsidiaries of a global leader in transportation infrastructure.
  • Represented the parent company of a global family of construction management and engineering consulting firms in its $19.5 million acquisition of substantially all of the assets of an engineering and construction services business.
