Counseling clients on corporate transactions and M&A
Pam Lundborg brings a practical approach to complex business issues. She represents clients on both the buyer and seller side throughout the mergers and acquisitions (M&A) process, including planning, due diligence, drafting and negotiating transaction documents, and coordinating the closing process. She also advises both public and private corporate clients on all aspects of commercial transactions. Her experience also includes:
- Structuring joint ventures and strategic partnerships, including negotiating and drafting the operating documents, in the health technology and facility development space.
- Negotiating Operating/Shareholder Agreements and complex business structure relationships, including class of stock/ownership interests, liquidation preferences, transfer restrictions, mutual buy-sell agreements, and call/put options.
- Negotiating and drafting third party vendor agreements, including supply and distribution agreements and service agreements.
Every client gets Pam’s cell phone number because she understands they need immediate access to their attorney. Business owners do not keep normal business hours and neither does she. As a former newspaper reporter, she gets to the heart of an issue efficiently and communicates in a plain-English manner on tight deadlines.
Pam is a frequent and engaging speaker on business-related issues. She has served as a panelist for The Ferrari Club, Morgan Stanley, the Scope Institute and various female entrepreneur associations, tackling topics such as preparing for the sale of a business, corporate succession planning and effective partnership relationships.
