Jill Polk helps public and private companies find practical solutions to raising and deploying capital, communicating with stakeholders and making best practices decisions in every stage. She focuses on general corporate and securities matters, including federal and state securities law compliance, registered and private equity and debt capital raising, SEC reporting and corporate governance initiatives. In addition, she counsels management and boards on fiduciary duties and responsibilities, insider trading liabilities, and executive and equity compensation practices.

Jill also regularly advises private companies and private investment funds on conducting exempt initial and serial offerings of equity and debt securities, as well as drafting and negotiating:

  • Offering memoranda
  • Subscription agreements
  • Stockholders agreements
  • Investment instruments

Before moving forward, Jill takes a step back to understand clients’ objectives and works to make sure those goals are met in a way that is both efficient and workable within clients’ systems and structures.

Experience in Action

  • Represents issuers and underwriters in connection with public and private securities offerings, tender offers, secondary stock sales and shelf registrations and takedowns.
  • Counsels a range of public companies on Exchange Act reporting and compliance, and initial and continued listing on national securities exchanges.
  • Collaborates with general counsel, management and boards on corporate governance policies and procedures, risk management practices and fiduciary duties.
  • Advises private companies and funds on raising capital, communicating with investors, and establishing internal governance and investment management systems.

Successes

  • Represented outdoor recreation company in $85 million IPO and Nasdaq listing, ongoing SEC reporting and compliance, secondary capital raising and exit sale.
  • Represented a manufacturing client in exchange of $675 million of publicly traded senior
  • Established private fund series structure for financial services company and conducted capital raising for initial and several subsequent series.
