Keyon Brown advises clients on the full spectrum of real estate transactions, including overseeing the acquisition, disposition, financing and development of commercial properties, with an emphasis on the development of industrial, multifamily, student housing, mixed-use and retail projects throughout the United States. Keyon regularly represents developers, operators, institutional clients, private equity companies, investors and joint venture partners, handling the negotiation of purchase agreements, loan documents, joint venture agreements and the implementation of related due diligence activities in connection with:

His experience also includes guidance on affordable housing and community development; government, tax credit and Property Assessed Clean Energy (PACE) financing; and business structuring and growth for startups.

Clients appreciate Keyon’s even-tempered approach to deal making and problem solving, bringing a strategic and practical mindset to transactions and providing results-oriented counsel in line with each client’s long-term business goals.

Before entering private practice, Keyon worked as an attorney-advisor at the U.S. Department of Housing and Urban Development (HUD), where he conducted legal reviews of an array of FHA and Section 8-related transactions and closed loans insured by HUD on a variety of projects.

Experience in Action

  • Represents borrowers in commercial real estate financing transactions, as well as drafting and negotiating loan documents.
  • Counsels developers and investors on acquisitions and dispositions of commercial real estate, including drafting and negotiating purchase agreements.
  • Assists sponsors and investors in the negotiation of joint venture partnership agreements, development agreements and other transaction-related documents.
