Rachel represents family-owned and privately held businesses, private equity funds and their portfolio companies, family offices, and Fortune 500 companies in complex domestic and international mergers and acquisitions (M&A) and day-to-day general corporate, business, and commercial matters. Her clients span across a broad range of industries, including manufacturing, food and beverage, business services, healthcare, and information technology, among others.
Rachel’s experience includes representing buyers and sellers in stock and asset acquisitions, mergers, and divestiture transactions - ranging from $1 million to $750 million in value. She represents buyers and sellers through the entirety of the transaction from the planning stages to the negotiating and closing of the transaction and through the transition process. She also regularly serves as outside general counsel for many clients and helps them triage and resolve daily questions and concerns. Her practice also focuses on formation, governance, and employment arrangements, and reviewing, drafting, and negotiating a variety of commercial contracts, including terms and conditions, manufacturing agreements, supply agreements, services agreements, consulting agreements, distributor and sales representative agreements, and confidentiality and non-disclosure agreements.
Rachel’s prior experience outside of private practice has helped shape her commitment to client service and providing practical, business savvy, and efficient legal advice. While in law school, she served as a law clerk with The Marcus Corporation and prior to entering the practice of law, Rachel worked for Target Corporation as an Executive Team Leader.
