Kiana Baharloo advises clients on issues regarding data privacy, technology transactions, intellectual property (IP) and emerging technologies, including artificial intelligence (AI). She is a Certified Information Privacy Professional (CIPP/US) through the International Association of Privacy Professionals. She counsels clients on compliance with evolving state and federal data privacy laws, consumer health privacy laws and sectoral privacy laws among a wide range of industries and technologies. Kiana also works on various aspects of privacy compliance programs, including AI acceptable use policies and security incident response policies. She regularly supports corporate M&A diligence by ensuring compliance with privacy and security regulations.

Experience in Action

  • Assists clients with GDPR, CCPA/CPRA, COPPA, HIPAA, Section 5 of the FTC Act and other state and federal privacy issues and compliance, including preparation of privacy policies and vendor contracts.
  • Analyzes relevance of consumer health and biometric privacy laws (e.g., BIPA) and advises businesses on their consumer health and biometric information collection and practices.
  • Drafts, reviews and negotiates technology transactions and contracts such as DPAs, MSAs, NDAs/CDAs and SaaS agreements.
  • Advises on protecting meaningful IP rights in various agreements, including data transfers and licensing agreements.
  • Counsels clients through security incidents and data breaches, including incident response and notifications to affected individuals and state and federal government regulators.
  • Provides guidance on website and online marketing compliance and best practices, including use of tracking technologies.
  • Prepares documentation for mobile applications and various online services, including End-User License Agreements (EULA) and Terms of Service.
  • Advises clients on compliance with various consumer protection laws, including the CAN-SPAM Act.
